Terms of Service

1. Acceptance of Terms

By accessing and using canapés ("the Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

canapés is a micro-learning platform that delivers AI-generated educational content via WhatsApp. The Service includes:

  • Access to pre-built sample courses
  • AI-powered course creation from user-provided content (Pro and Business plans)
  • Interactive quizzes and tests
  • Progress tracking and analytics
  • WhatsApp-based content delivery

3. User Accounts

3.1 Account Registration

There are two types of accounts:

  • WhatsApp Learner Accounts: Created automatically when you enroll in a course via WhatsApp. Requires a valid WhatsApp phone number.
  • Creator Dashboard Accounts: For creating and managing courses. Requires email address, password, and full name. By creating an account, you agree to these Terms and our Privacy Policy.

You must provide accurate, current, and complete information during registration and keep your account information updated.

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Age Requirement

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this age requirement.

4. Subscription Plans and Payment

4.1 Basic Plan

The Basic plan provides access to sample courses at no cost. We reserve the right to modify or discontinue the Basic plan at any time.

4.2 Paid Plans

Pro and Business plans are offered on a monthly subscription basis. By subscribing to a paid plan, you agree to pay the subscription fees according to the pricing plan you select. Current pricing is available on our website and may be changed with 30 days' notice to existing subscribers.

Paid plans include additional features such as:

  • AI-powered course creation from uploaded content (PDFs, documents, text)
  • Higher usage limits for courses, enrollments, and participants
  • Access to analytics and engagement tracking
  • Course sharing via enrollment codes and QR codes

4.3 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you agree to Stripe's Terms of Service. We do not store your complete credit card information on our servers.

4.4 Billing and Renewal

Subscriptions automatically renew at the end of each monthly billing period unless cancelled. You will be charged the then-current subscription fee. You must cancel before the renewal date to avoid being charged for the next period.

You can manage your subscription, update payment information, and view billing history through the Stripe Customer Portal accessible from your account settings.

4.5 Cancellation

You may cancel your subscription at any time through your account settings or the Stripe Customer Portal. Cancellations take effect at the end of the current billing period. You will retain access to paid features until the end of the paid period. No refunds are provided for partial periods.

4.6 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment continues to fail, your subscription may be downgraded to the Basic plan, and you may lose access to paid features and content. We are not responsible for any fees your bank or card issuer may charge.

4.7 Refunds

We generally do not provide refunds for partial subscription periods or for unused features. However, we may consider refund requests on a case-by-case basis for technical issues or billing errors. To request a refund, contact us at hello@tntventures.de within 14 days of the charge. EU consumers have additional rights under consumer protection laws.

5. User Content

5.1 Content Ownership

You retain ownership of any content you upload to the Service, including but not limited to documents, PDFs, text, images, and audio files. By uploading content, you grant canapés a worldwide, non-exclusive, royalty-free license to use, process, store, and display your content for the purpose of providing the Service.

This includes:

  • Processing your content through AI systems (OpenAI) to generate course materials
  • Transcribing voice messages you send via WhatsApp
  • Generating images, audio, and documents based on your content
  • Storing and displaying content to participants you enroll in your courses

5.2 Content Restrictions

(a) You agree not to upload content that:

  • Violates any law or regulation
  • Infringes on intellectual property rights
  • Contains harmful, offensive, or inappropriate material
  • Contains malware or malicious code
  • Violates third-party privacy rights

(b) You represent and warrant that you hold all necessary rights, licenses, and permissions to any content you upload, submit, or provide through the Service, including but not limited to text, images, graphics, audio or video files, documents (such as PDFs), and URLs ("User Content"). You further represent and warrant that the use, processing, display, or distribution of such User Content through the Service does not infringe any copyrights, related rights, trademarks, design rights, privacy or personality rights, or any other rights of third parties.

(c) By uploading or providing User Content, you grant the Service a worldwide, non-exclusive, royalty-free license to store, process, reproduce, display, transmit, modify, and convert such User Content as necessary to provide the Service, including for automated course generation and course delivery (e.g., via WhatsApp or other communication channels). You retain all ownership and intellectual property rights in your User Content.

(d) You agree to indemnify, defend, and hold harmless the Service, its affiliates, officers, employees, and partners from and against any claims, damages, losses, liabilities, or costs (including reasonable attorneys' fees) brought by third parties arising out of or related to your User Content, including but not limited to claims of copyright infringement, trademark or design rights violation, privacy or data protection violations, personality rights violations, or other intellectual property infringements.

5.3 Content Removal

We reserve the right to remove any content that violates these Terms or that we deem inappropriate at our sole discretion. The Service is not obligated to proactively monitor your User Content. However, the Service may remove, block, or disable access to any User Content at any time if it becomes aware of a potential rights infringement or a violation of these Terms. The Service will act promptly upon receiving credible notices of alleged infringement ("Notice-and-Takedown").

5.4 AI-Generated Content Disclaimer

Our Service uses artificial intelligence (OpenAI) to generate course content, answer questions, interpret responses, and provide feedback. AI-generated content may contain errors, inaccuracies, or biases. You acknowledge that:

  • AI-generated content is not a substitute for professional advice or expert instruction
  • You are responsible for reviewing and verifying all AI-generated content before use
  • We do not guarantee the accuracy, completeness, or reliability of AI-generated content
  • AI may misinterpret user input or generate inappropriate responses despite safeguards
  • You should not rely solely on AI-generated content for critical decisions

(a) The Service uses automated systems and large language models ("AI Systems") to process your User Content and generate micro-learning courses or related output. AI-generated or automatically processed content may contain errors, inaccuracies, omissions, outdated information, or misleading statements.

(b) The Service makes no warranty or guarantee, express or implied, regarding the accuracy, completeness, correctness, quality, reliability, or suitability of any AI-generated or automatically processed content.

(c) All AI-generated content is provided for general informational purposes only and does not constitute legal, medical, financial, tax, safety, or other professional advice. You are solely responsible for reviewing, validating, and verifying all generated content before using it or sharing it with others (including employees, customers, users, or third parties).

5.5 Liability

(a) To the fullest extent permitted by applicable law, the Service is not liable for any damages or losses arising from the use of, reliance on, or distribution of AI-generated content, except in cases of willful misconduct or gross negligence.

(b) Nothing in these Terms limits liability for death, personal injury, or other mandatory statutory liabilities that cannot legally be excluded.

6. Intellectual Property

The Service, including its software, design, text, graphics, and other content (excluding User Content), is owned by canapés and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

7. Prohibited Uses

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) to access the Service
  • Impersonate any person or entity
  • Collect or harvest personal information from other users
  • Transmit spam, viruses, or harmful code

8. Third-Party Services

The Service relies on third-party platforms and services. Your use of these platforms is subject to their respective terms of service and privacy policies. We are not responsible for any third-party services, their availability, performance, or data practices.

Third-party services we use include:

  • WhatsApp (Meta Platforms): For message delivery to course participants
  • Twilio: For WhatsApp messaging infrastructure
  • OpenAI: For AI-powered content generation, transcription, and processing
  • Stripe: For payment processing and subscription management
  • Supabase: For data storage and authentication
  • Google Analytics: For website analytics and usage tracking
  • Unsplash: For stock photography in course content
  • Resend: For transactional email delivery

Service interruptions, changes, or discontinuation of any third-party service may affect the availability or functionality of our Service. We will make reasonable efforts to provide alternative solutions but cannot guarantee uninterrupted service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CANAPÉS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to indemnify and hold harmless canapés, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

  • Dashboard Accounts: Cancelling your subscription through the Stripe Customer Portal and contacting us to request account deletion
  • WhatsApp Learner Accounts: Sending "STOP" via WhatsApp to opt out of course messages

12.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you:

  • Breach these Terms or our Privacy Policy
  • Engage in fraudulent, abusive, or illegal activity
  • Fail to pay subscription fees (after reasonable notice)
  • Upload prohibited or harmful content
  • Violate the rights of other users or third parties

12.3 Effect of Termination

Upon termination:

  • Your right to use the Service will cease immediately
  • Access to your account, courses, and data will be disabled
  • Paid subscriptions will not be refunded for remaining time
  • Your data will be retained or deleted according to our Privacy Policy and applicable law
  • You remain liable for any outstanding fees or obligations incurred before termination

Sections of these Terms that by their nature should survive termination (including intellectual property provisions, disclaimers, limitations of liability, and indemnification) will survive termination.

13. EU Consumer Rights

If you are a consumer residing in the European Union, you have certain rights under EU consumer protection law:

13.1 Right of Withdrawal (14-Day Cooling-Off Period)

For digital services, you have the right to cancel your subscription within 14 days of purchase without giving a reason. However, if you begin using the Service during the withdrawal period (e.g., creating courses, enrolling participants), you expressly agree that we may begin performance and you acknowledge that you will lose your right of withdrawal once the Service has been fully performed.

13.2 Unfair Terms

Nothing in these Terms affects your statutory rights as a consumer under EU law. If any provision of these Terms is found to be unfair or unenforceable under EU consumer protection law, it will not apply to you, but the rest of these Terms will remain in effect.

13.3 Dispute Resolution

EU consumers may access the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. For consumers in the EU, mandatory consumer protection laws of your country of residence also apply. The place of jurisdiction for disputes with merchants is Cologne, Germany. For consumers, jurisdiction is determined according to applicable consumer protection laws.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

  • Posting the new Terms on this page and updating the "Last updated" date
  • For significant changes affecting your rights, sending you an email notification (if we have your email)

Changes to these Terms are effective when posted on this page. Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.
